Agent Agreement

This Agent Agreement (the "Agreement") is made between Gold Evolution Pte Ltd (UEN 202443296N) ("Gold Evolution", "we", "us") and you, the person applying to become a referral agent ("you", the "Agent"). By ticking the acknowledgement box and submitting your agent application, you confirm that you have read, understood and agree to be bound by this Agreement.

1. Becoming an Agent

• You must hold a Gold Evolution customer account and have completed identity verification (KYC).
• Becoming an agent involves a one-time Agent Package (a purchase of 5 grams of gold, as gold savings or as a 5-gram gold bar), as described in the app. Any request for a refund of the Agent Package is considered by Gold Evolution on a case-by-case basis.
• Your application is subject to review and approval by Gold Evolution. We may approve or decline any application at our discretion, and approval is not guaranteed by payment alone.

2. Your status — independent, not an employee

You act as an independent referrer. This Agreement does not create an employment, partnership, joint-venture or agency relationship beyond the limited referral arrangement described here. You have no authority to enter into contracts, make promises, or otherwise bind Gold Evolution, and you must not represent that you can.

You are responsible for your own taxes on any bonuses you earn and for declaring them to the relevant authorities as required. This is general information, not tax advice — check with IRAS or a tax adviser about your own situation.

3. Referral bonuses

• The programme is single-level only. You earn a referral bonus on the qualifying gold purchases of customers you directly refer (and your own qualifying purchases). You do not earn from recruiting other agents, from another agent's referred customers, or from any "team" or "downline" — there is none.
• Your bonus rate is set by your tier, and your tier is based on your accumulated qualifying sales. The current tier thresholds and rates are those published in the app and may be updated by Gold Evolution from time to time, with notice, at our discretion.
• Bonuses are calculated on completed, paid transactions and credited to your in-app commission wallet. Withdrawals are subject to the minimum and the payout process shown in the app.
• We may withhold, adjust or claw back a bonus that arises from a cancelled, refunded, reversed, fraudulent or mistaken transaction.

4. Your conduct & compliance

As an Agent you agree to:

• Act honestly and lawfully, and comply with all applicable laws, including anti-money-laundering / counter-terrorism-financing requirements under the Precious Stones and Precious Metals (PSPM) Act 2019, under which Gold Evolution is a registered Regulated Dealer.
• Never guarantee returns, profits or the future price of gold, and never give financial, investment or tax advice. Gold is a savings product whose value can go down as well as up.
• Refer only. Your role is to introduce people to Gold Evolution and share approved, factual information. Do not give personal recommendations, say or imply that gold suits a particular person's finances, or advise how much to buy, or when.
• Make only accurate statements about Gold Evolution's products, pricing and Shariah approach, and use only the approved scripts and marketing materials we provide — no misleading, high-pressure or "get-rich" claims. Say that Gold Evolution is "Shariah-aligned" and working towards certification; never say it is Shariah-certified.
• Get approval first for anything of your own that uses our name, logo, prices or claims — including name cards, flyers, posters, videos and social-media posts. Do not use it until we have approved it in writing. Name cards, certificates and posters you generate in the Agent section of the app are approved for use exactly as generated; do not change their wording.
• Not handle customers' money, identity documents or accounts. Customers sign up and pay directly through the platform; Gold Evolution carries out all identity checks and processes every transaction.
• Not open accounts for other people, use more than one account yourself, or introduce an account you know or suspect is fictitious or is being used for someone else. Tell us promptly if you suspect a customer or transaction is suspicious, and answer our reasonable questions about customers you introduced.
• Not misuse customer data, and handle any personal information in line with the Personal Data Protection Act 2012 and our Privacy Policy.
• Not present yourself as an employee, officer or spokesperson of Gold Evolution.

5. Brand, materials, recognition & verification

Gold Evolution's name, logo and materials remain our property. We grant you a limited, revocable permission to use approved materials solely to promote Gold Evolution while this Agreement is in force. Any other use requires our written permission.

We may recognise agents' referral activity with levels and certificates. Recognition is based on the customers you introduced who bought in a period, and it does not change your referral bonus. How levels are worked out, and what is needed to receive a certificate (for example a current Agreement and completed training), is shown in the app and may be updated by Gold Evolution with notice. We may withdraw a certificate if you breach this Agreement. A certificate is a recognition only: it is not a licence, a regulatory accreditation or a promise of earnings.

Anyone who has your agent code can check on our website that you are an active Gold Evolution agent. The check shows only your first name, the first letter of your surname and the month and year you became an agent.

6. Monitoring, suspension & termination

We keep records of which customers each agent introduced, and may monitor referral activity for unusual patterns. We may review how you describe Gold Evolution (including messages, posts and materials you use), investigate complaints about you or about customers you introduced, and ask you to correct or remove anything that is inaccurate or unapproved.

Either party may end this Agreement at any time. We may suspend or terminate your agent status immediately if you breach this Agreement, make an unauthorised representation, use unapproved materials, act unlawfully, or act in a way that could harm customers or Gold Evolution. On termination you must stop presenting yourself as an agent; any wallet balance already properly earned is handled per the app's payout process, subject to any clawback under clause 3.

7. Liability

To the extent permitted by law, Gold Evolution is not liable for any indirect or consequential loss, or for loss of anticipated bonuses or earnings. Nothing in this Agreement limits any liability that cannot be limited by law.

8. Changes to this Agreement

We may update this Agreement from time to time. The version in force is the one published here; material changes will be notified through the app. Continuing as an agent after a change means you accept the updated Agreement.

9. Governing law

This Agreement is governed by the laws of Singapore, and the courts of Singapore have jurisdiction over any dispute arising from it.
